I. RESELLER |
| |
| You can resell Easy1call products and services anywhere in the world, earning a generous commission on the Easy1call retail price. Easy1call's retail prices may vary in different countries; Resellers can also work with Easy1call to set up a dedicated rates table for one specific market. The service is based on Easy1call's global termination network, merchant account (if any for recharge by credit card), IP Phone, client software, and the use of Easy1call's brand name and logo. |

II. PRIVATE LABEL |

| You can private label your own brand of service on Easy1call' system without a major capital expenditure. Or you can set up your own dedicated GateKeeper to use your own termination network and merchant account. Easy1call can customize the phone set and client software using your brand name, and logo. |

III. ONE-TIME PURCHASE |

I. RESELLER PROGRAM |
 |
|
| |
To become a reseller of Easy1call, you need to reach the minimum purchase requirement, e.g. Easy1call IP phones. Please request a reseller agreement from Easy1call. You will earn a decent commission against Easy1call retail price. The commission percentage is based upon the retail rates table Easy1call adopts in any specific market where the call is originated. Different national flags on Easy1call's website indicate different origination region and the rates are also different accordingly. Resellers can also work with Easy1call to create a dedicated rates table in one region and do profit sharing with Easy1call if they don't like the commission plan.
To become an exclusive reseller in one specific market, you need to negotiate with Easy1call for a minimum monthly purchase commitment.). |

II. PRIVATE LABEL PROGRAM |
 |

To private label your own IP phone, you can either use Easy1call's existing network if you choose to use Easy1call's A-Z termination or Easy1call's merchant account; or you can build up a dedicated Gate Keeper (GK that provides billing; authentication; routes managements and customer management services) if you choose to use your own A-Z and merchant account. A minimum purchase (of Easy1Phones) is required to be qualified as Easy1call Private Label partner.
Easy1call will assist Private Label partners with the purchase, factory direct, with your own logo on the phone set and client end software.
Easy1call would also provide you electronic version of Easy1Phones products manual and installation guide for your Customer documentation.
Private Label IP Phone Activation Fee and Private Label Utilization Fee would be billed.
If you choose to use your own A-Z and merchant account, you need set up your own GK and GK software utilization fee and other related fees would be billed. |

III. GK License Purchase |
 |
|
| |
You can choose to purchase Easy1call's GK license. Our service includes system customization; installation and configuration, plus a one-year product warranty and technical support. There would be a consecutive service fee for each additional year for system maintenance and software support, including software upgrades. Customers need purchase GK hardware and IP phones separately after buying GK software license.
If a Private Label provider wishes to purchase a system after operating under the Easy1call Private Label program for a while, then the initial set up fees, and activation fees for additional subscribers under the Private Label program, will be rebated towards the GK license purchase price. |

IV. JOINT VENTURE |
 |
|
| |
For customers who are able to place a large order of IP phones at one time and has promising revenue growth future, Easy1call would like to consider setting up a joint venture with you.
Easy1call would use certain number of free GateKeeper licenses as major investment to this new joint venture. The number of the free license is the number of the IP phones purchased at the initial order.
Meantime, all the additional charges for private label partner including set up fee; activation fee and GK utilization fee for the initial lines would all be waived.
Our partner in this joint venture would be responsible for GK hardware, Cisco gateways, termination switch, internet bandwidth, co-location, telco interconnection, A-Z termination, marketing, hiring employees, renting office space and other office facility and working capital for this joint venture.
Our partner is responsible for daily operation of this joint venture. Each party's percentage in this joint venture would be decided by its respective investment.
When customer base of this joint venture expands, joint venture has the right to purchase new Easy1call GK license at a discount price against its market price.
Easy1call also commit to provide consistent technical support to this joint venture at its cost price. |

V. BROKERAGE |
 |

If you have good contacts in this market, you also have the chance to participate in this exciting business just by referring business to us.
For any lead which turns out to be a successful business relationship (reseller; private label or System license purchase), Easy1call would pay you a percentage of all the revenue Easy1call generates from this referral for one year commencing from the date when the agreement (reseller; private label; System license purchase) is signed.
For any referral, which leads to an establishment of a joint venture, Easy1call would give you full commission immediately after we receive the full payment from our customers. |
